On 2 March 2026, the Supervisory Board of Grupa Azoty appointed a new Management Board for the 13th term, entrusting the position of president of the management board to Marcin Celejewski and the position of vice president to Małgorzata Królak. At the same time, vice chair of the Supervisory Board, Aleksandra Machowicz-Jaworska, was delegated to temporarily perform the duties of vice president for a period of up to three months. The new management is launching a phase of deep restructuring of Grupa Azoty, one of the key players on the European fertilizer and chemical market, focused on restoring financial stability, maximising the efficiency of industrial assets and directing activities towards segments with the highest growth potential.
Marcin Celejewski emphasises that taking on the role of president of the management board is associated with a specific commitment to implement broad organisational, operational and financial change. In his view, Grupa Azoty now requires a decisive modification of its operating model, a clear definition of strategic priorities and consistent efficiency improvement. The management experience of the new president includes running complex transformation projects in large organisations, which is to provide the basis for a comprehensive view of the capital group, taking into account both production, commercial and operational potential and the areas requiring restructuring and firm decisions. In parallel, dialogue with financing institutions and other stakeholders is to be continued in order to develop lasting agreements that stabilise the debt structure and create the basis for further capital decisions.
Małgorzata Królak, who assumes the role of vice president of the management board, points out that her nomination comes at a critical moment for Grupa Azoty, as it enters a stage of deep restructuring aimed at financial stabilisation, internal integration and maximum utilisation of asset potential. A key priority area will be the rationalisation of the group structure, including the completion of the exit process from the polymer project, implemented under arrangement proceedings and negotiations with Orlen. Królak draws on experience from the development and transformation of chemical and petrochemical assets in large industrial organisations in Europe. The Supervisory Board notes that the expanded composition of the management board is expected to ensure efficient execution of the transformation process and prepare the basis for further strategic decisions, including capital measures, once the group’s financial situation has been stabilised.
New composition of the Grupa Azoty management board, 13th term
The management board of Grupa Azoty S.A. for the 13th term currently consists of:
- Marcin Celejewski, president of the management board of Grupa Azoty S.A.,

- Aleksandra Machowicz-Jaworska, acting vice president of the management board of Grupa Azoty S.A.,
- Artur Babicz, member of the management board of Grupa Azoty S.A.
Statements from the newly appointed management board members indicate that the priorities of the current term include management integration, strengthening cost discipline, improving operational results and making fuller use of the value of existing assets. The need to clearly define business segments with the highest development potential is highlighted, which in practice may mean a focus on the most profitable and prospective areas of chemical and fertilizer activities, while at the same time reviewing projects with elevated risk or limited profitability.

Experience of Małgorzata Królak in the chemical and energy sector

She specialises in value creation in complex, capital-intensive industrial projects and in leading organisations through investment, growth and restructuring phases under strong pressure from stakeholders and financial markets. During her career she has been responsible for the development, implementation and restructuring of industrial and energy projects with a total value exceeding 5 billion euro, working with global industrial partners, financial institutions and international banking consortia.
She graduated from the Warsaw School of Economics in management and marketing and in finance and accounting, and from the Warsaw University of Technology, where she completed courses in chemical and process engineering and gas turbines and combined cycle systems. She complemented her education with programmes at Harvard Law School in strategic negotiations. Key roles in Grupa Azoty and the petrochemical sector
Since 2025, Małgorzata Królak has been president of the management board of Grupa Azoty Polyolefins S.A., a company implementing one of the largest petrochemical investments in Central and Eastern Europe. She took on this role during a period of deep liquidity crisis in the project, being responsible for stabilising the financial situation, initiating restructuring proceedings, rebuilding corporate governance and conducting complex negotiations with financing banks and the EPC general contractor. From the perspective of the plastics and packaging market, her experience in managing petrochemical assets and projects in the polyolefin area is relevant for the supply of polymer raw materials in the region.
In 2023–2025 she was responsible for building and scaling the operations of Quanta Energy in Italy, bringing the company into the segment of large-scale BESS investments and developing a solar as a service model for industrial customers under long-term strategic contracts. This experience involves, among other things, energy projects linked to large industrial off-takers, which is important in the context of energy costs in the chemical sector.
In 2018–2022, as executive director for programme and business development at Electromobility Poland, she was responsible for developing key industrial partnerships and preparing the project of the first Polish electric car factory. She began her professional career at the strategic consulting firm Roland Berger, in the Oil & Gas team, which became the starting point for further specialisation in the chemical, petrochemical and energy sectors.
In the context of the current challenges facing Grupa Azoty, including the process of exiting the polymer project and restructuring chemical assets, Małgorzata Królak’s experience in managing large investment projects and negotiating with financial institutions may be of significant importance for further shaping of the group’s asset portfolio, including the polymers and polyolefins segment.
